Disney executive compensation approved

Walt Disney Co. shareholders approved proposals on executive compensation and reelected directors. While some votes were cast against management, the final tally allowed the media company to avoid a showdown with an activist shareholder and proxy-advisory firm.

Disney and Institutional Shareholder Services (ISS) Inc. publicly locked horns in recent weeks over criticism about the company’s pay policies for top executives and the appointment of CEO Robert Iger to the additional role of chairman.

ISS had recommended that shareholders vote against members of Disney’s nominating and governance committee, which last year appointed Iger as board chairman through until 2016.
