Fosun appoints non-executive director

The board of directors of Fosun International Limited announces the following appointment of non-executive director and change of the composition of the Board committees:

1. Ms. Chen Shucui has been appointed as a non-executive director of the Company with
effect from 17th December 2019 and

2. Mr. Wang Qunbin, the executive director and chief executive officer of the Company, will no longer act as a member of the nomination committee and the remuneration committee of the Company with effect from 17th December 2019.

Details of the newly appointed director
Ms. Chen Shucui, aged 45, is the general manager assistant of China Everwin Asset Management Co., Ltd., a non-executive director of Ronshine China Holdings Limited (listed The Board announces the following appointment of non-executive director and change of the composition of Board committees of the Company:
1. Ms. Chen Shucui has been appointed as a non-executive director of the Company with effect from 17th December 2019; and

2. Mr. Wang Qunbin, the executive director and chief executive officer of the Company, will no longer act as a member of the nomination committee and the remuneration committee of the Company with effect from 17 December 2019 in order to improve the independency of the relevant committees.

on The Stock Exchange of Hong Kong Limited with stock code 03301), a director of Xinhu Zhongbao Co., Ltd. (listed on the Shanghai Stock Exchange with stock code 600208), a non-independent director of Beijing Jetsen Technology Co., Ltd. (listed on the Shenzhen Stock Exchange with stock code 300182) and Zhejiang Hailiang Co., Ltd.

Ms. Chen has experience in asset management and securities trading for over twenty years. From 1997 to 2017, Ms. Chen successively served as the general manager assistant of Beijing sales department, the general manager assistant of Hebei securities asset management department of Hebei Securities Co., Ltd.; the deputy general manager of the securities investment department of New Times Securities Co., Ltd.; the deputy general manager of asset management department, deputy general manager of futures intermediate business of Huarong Securities Co., Ltd.; the general manager of securities investment department of Dongxing Securities Co., Ltd. and the president assistant of New Times Trust Co., Ltd.. Ms. Chen graduated from Hebei University of Economics and Business with a bachelor’s degree in economics in 1997, and then obtained her master’s degree in economics from Xiamen University in 2000.

Save as disclosed above, Ms. Chen does not hold any other directorship in any listed public company which securities are listed on any securities market in Hong Kong or overseas during the period of three years preceding the date of this announcement. Save as disclosed above, as at the date of this announcement, Ms. Chen (1) does not hold any position within the Company or other members of the Group; (2) does not have any relationships with any other directors, senior management, substantial or controlling shareholders of the Company; (3) does not have, and/or is not deemed to have, any interests or short positions in any shares, underlying shares or debentures of the Company or its associated corporations (as defined under Part XV of the Securities and Futures Ordinance, Chapter 571 of the Laws of Hong Kong); and (4) does not have other major appointments and professional qualifications.

Ms. Chen has entered into a service contract with the Company with a fixed term of services for 2 years commencing from 17 December 2019, and is subject to retirement by rotation and re-election at the general meeting in accordance with the Company’s articles of association.

Ms. Chen will not receive any remuneration in relation to her appointment. Save as disclosed above, there are no other matters which need to be brought to the attention
of the shareholders of the Company regarding the appointment of Ms. Chen nor is there any other information required to be disclosed pursuant to Rule 13.51(2) (h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.
The Appointment can enhance the diversity of the Board and the Company would like to take this opportunity to welcome Ms. Chen for joining the Board.
